TERMS OF SERVICE

OVERVIEW

This website, online store, parts-request service, international forwarding service, and related services are operated by German Truck Works LLC, doing business as Torque Ranch Motors.

Throughout these Terms of Service, the terms “Torque Ranch Motors,” “TRM,” “we,” “us,” and “our” refer to German Truck Works LLC.

These Terms govern your access to and use of our website, online store, customer portal, parts-request services, forwarding services, products, quotes, content, information, and related services.

By accessing the website, creating an account, submitting information, requesting a quote, starting a forwarding order, purchasing an intake service, purchasing a product or service, or otherwise entering into a transaction with Torque Ranch Motors, you agree to these Terms and to the policies incorporated into them, including our Privacy Policy, Shipping Policy, Return and Refund Policy, and any transaction-specific written terms.

Where mandatory law gives a consumer rights that cannot legally be waived or limited, those mandatory rights remain unaffected.

2. DEFINITIONS AND SERVICE TYPES

For purposes of these Terms:

“Customer-Supplied Goods”

means products, parts, merchandise, packages, engines, transmissions, components, or other property purchased or otherwise obtained by the customer from a third-party seller and delivered to Torque Ranch Motors for receiving, inspection, consolidation, repacking, forwarding, export, or related services.

“Forwarding Service”

means the service under which the customer purchases or obtains goods independently and Torque Ranch Motors provides one or more services such as U.S. receiving, package identification, inspection, photography, measurement, weighing, consolidation, repacking, export preparation, documentation assistance, carrier procurement, and international forwarding.

“TRM-Sourced Goods”

means products that Torque Ranch Motors locates, purchases, supplies, or sells to the customer as part of a separate parts-sourcing or sales transaction.

“Carrier”

means DHL, FedEx, UPS, USPS, freight carriers, local delivery services, brokers, subcontracted transportation providers, or any other independent transportation provider.

“Business Customer”

means a customer acting primarily for commercial, professional, resale, workshop, trade, or business purposes.

“Consumer”

means an individual acting primarily for purposes outside that individual’s trade, business, or profession.

The legal and commercial treatment of Customer-Supplied Goods is different from the treatment of TRM-Sourced Goods. Customers are responsible for understanding which service model applies to their transaction.


3. ELIGIBILITY AND ACCEPTABLE USE

By using this website or any TRM service, you represent that:

  • You are at least 18 years old or the age of majority in your jurisdiction.

  • You are legally capable of entering into a binding agreement.

  • Information you provide is complete and accurate.

  • You are authorized to purchase, possess, export, import, and receive the goods involved in the transaction.

  • You will not use the website, products, or services for an unlawful purpose.

  • You will not interfere with the security, availability, or operation of the website.

  • You will not attempt to gain unauthorized access to accounts, systems, or data.

  • You will not submit false, misleading, fraudulent, incomplete, or abusive information.

  • You will not ask TRM to falsify customs values, origin, product descriptions, invoices, ownership, or other regulatory information.

We may refuse service, cancel or hold orders, restrict access, suspend forwarding activity, or terminate accounts when reasonably necessary because of fraud, abuse, unlawful conduct, safety concerns, customs issues, sanctions, export restrictions, payment concerns, incomplete information, or violations of these Terms.


4. PRODUCT INFORMATION

We make reasonable efforts to display accurate product information, including descriptions, photographs, specifications, vehicle fitment, pricing, and availability.

Product information may be provided by manufacturers, distributors, vehicle-data providers, suppliers, sellers, recyclers, salvage facilities, and other third-party sources.

Product designs, packaging, specifications, part numbers, supersessions, included components, finishes, country of manufacture, and availability may change without notice.

Photographs may be representative.

Colors, finishes, packaging, included components, labels, and product appearance may vary from images shown.

For used, discontinued, obsolete, surplus, salvage, or rare components, cosmetic appearance, packaging, revisions, casting numbers, production markings, and included accessories may vary.

Contact Torque Ranch Motors before ordering if a particular specification, revision, finish, measurement, production date, component, or configuration is essential to your purchase.


5. VEHICLE FITMENT

Vehicle fitment may depend on factors including:

  • Year

  • Make

  • Model

  • Submodel

  • Trim

  • Engine

  • Drivetrain

  • Cab configuration

  • Bed length

  • Suspension configuration

  • Existing modifications

  • Production date

  • VIN

  • Emissions configuration

  • Market specification

  • Previously replaced or modified components

Customers must provide accurate and complete vehicle information.

When requested, provide the complete VIN and any other information reasonably required to verify compatibility.

Fitment information is based on information reasonably available at the time and does not replace manufacturer instructions, inspection of the actual vehicle, or professional judgment.

Do not install, modify, paint, drill, cut, weld, program, flash, or use a product that appears incorrect, damaged, incomplete, or incompatible.

Contact Torque Ranch Motors before installation if fitment is uncertain.

For Customer-Supplied Goods, TRM does not become responsible for the third-party seller’s fitment recommendation merely because the goods are delivered to, inspected by, or forwarded through TRM.


6. PRICES, QUOTES, AND AVAILABILITY

All prices are in U.S. dollars unless expressly stated otherwise.

Prices, promotions, product availability, carrier rates, shipping charges, duties, taxes, descriptions, specifications, and estimated costs may change.

A website calculator, preliminary estimate, carrier-rate preview, verbal estimate, or other preliminary calculation is not a guaranteed final price unless expressly identified by TRM as a final written quote.

International shipping prices may change because of:

  • Final packed dimensions

  • Actual or dimensional weight

  • Number of packages

  • Packaging changes

  • Consolidation or separation of packages

  • Carrier rerating

  • Remote-area or special-handling charges

  • Freight classification

  • Customs classification

  • Country of origin

  • Duties or taxes

  • Government assessments

  • Currency or carrier adjustments

  • Address corrections

  • Additional required documentation

  • Dangerous-goods classification

  • Changes to the requested service

The customer-facing TRM shipping or forwarding price is a TRM service price and does not necessarily equal TRM’s carrier cost, published carrier pricing, or any underlying contract rate.

TRM may include handling, processing, operational costs, margin, documentation services, packaging services, or other service value within a quoted price.

Products remain subject to availability until an order is accepted and fulfillment or supplier procurement has begun.

We may correct pricing, description, inventory, fitment, calculation, or typographical errors.


7. ORDERS, REQUESTS, AND ACCEPTANCE

Submitting an order, forwarding request, parts request, or quote request does not automatically require TRM to accept the transaction.

Torque Ranch Motors may review, accept, reject, limit, hold, or cancel an order or request because of:

  • Product unavailability

  • Pricing or listing errors

  • Incomplete vehicle information

  • Incomplete customs information

  • Fraud or payment concerns

  • Export, sanctions, emissions, safety, or legal restrictions

  • Undeliverable addresses

  • Quantity limitations

  • Shipping restrictions

  • Dangerous goods

  • Inability to verify identity or payment

  • Inability to verify the product or transaction

  • Supplier restrictions

  • Carrier restrictions

  • Operational limitations

  • Any other reasonable legal, safety, or compliance concern

An automated confirmation acknowledges receipt only.

It does not guarantee acceptance, availability, shipment, customs clearance, delivery, or delivery by a particular date.


8. PAYMENT

Payment must be authorized as required for the applicable transaction.

Available payment methods are shown at checkout, on an invoice, or in a written quote.

Customers represent that they are authorized to use the submitted payment method.

We may request additional verification, hold an order, or cancel a transaction if payment, identity, billing information, ownership, or transaction details cannot be verified.

Customer goods may be held until amounts properly due for the applicable transaction are paid, to the extent permitted by law.

Past-due Business Customer balances may be subject to lawful interest, collection costs, storage costs, or other amounts permitted by applicable law and the applicable written agreement.


9. SALES TAX, DUTIES, AND GOVERNMENT CHARGES

Applicable U.S. sales tax is calculated based on the transaction, product taxability, destination, and applicable tax requirements.

Tax-exempt customers must provide valid documentation and receive approval before a tax-exempt transaction unless another approved process is provided.

International duties, import taxes, VAT, customs assessments, brokerage charges, and government fees depend on the destination and transaction.

Where TRM expressly quotes a duty-paid or DDP-type service, the quote is based on the information reasonably available at that time.

Customs authorities retain final authority over tariff classification, origin, customs value, admissibility, and government assessments.

Additional government charges resulting from incorrect, incomplete, changed, or unverified customer or seller information may be charged to the customer to the extent permitted by law.


10. UNITED STATES SHIPPING AND DELIVERY

Standard online checkout is generally intended for eligible U.S. delivery addresses unless otherwise shown.

Shipping is also governed by our Shipping Policy.

Shipping charges and estimates may depend on:

  • Product availability

  • Destination

  • Package size and weight

  • Carrier service

  • Freight classification

  • Residential or commercial delivery

  • Liftgate requirements

  • Appointment requirements

  • Hazardous-material restrictions

  • Oversize handling

  • Other carrier requirements

Orders may be divided into multiple packages and may arrive through different carriers or on different dates.

Processing, transit, and delivery estimates are not guaranteed unless expressly stated in writing as guaranteed.


11. INTERNATIONAL ORDERS AND GERMANY SERVICES

Torque Ranch Motors offers separately reviewed international services for eligible products and destinations, including services directed toward customers in Germany.

Depending on the transaction, the customer may:

  1. purchase goods directly from Torque Ranch Motors;

  2. request that TRM locate or source a product; or

  3. purchase goods independently from RockAuto, eBay, another U.S. seller, manufacturer, retailer, private seller, salvage facility, or other source and use TRM’s Forwarding Service.

International acceptance remains subject to product eligibility, destination, payment, export rules, customs requirements, carrier availability, required documentation, and operational feasibility.

TRM may decline any international transaction that cannot reasonably or legally be completed.


12. CUSTOMER-SUPPLIED GOODS AND FORWARDING SERVICE

This Section is especially important.

When a customer purchases goods from a third-party seller and has those goods delivered to TRM, TRM is not the seller of those goods.

The purchase contract for the underlying goods remains between the customer and the original seller.

TRM’s role is limited to the forwarding and related services expressly agreed upon.

Accordingly, unless mandatory law requires otherwise because of TRM’s own conduct:

  • TRM does not warrant the Customer-Supplied Goods.

  • TRM does not provide a product exchange for Customer-Supplied Goods.

  • TRM does not refund the purchase price paid to the original seller.

  • TRM does not assume the original seller’s warranty.

  • TRM does not assume the original seller’s return obligations.

  • TRM does not guarantee the original seller’s product description.

  • TRM does not guarantee authenticity, completeness, hidden condition, internal condition, fitment, functionality, service history, mileage, or merchantability of Customer-Supplied Goods.

  • Receipt by TRM does not constitute acceptance of the goods on behalf of the original seller.

  • A visual receiving inspection by TRM is not a technical inspection, fitment certification, authenticity certification, or warranty inspection.

This applies to new, used, remanufactured, rebuilt, discontinued, salvage, private-party, marketplace, and other Customer-Supplied Goods.


13. NO TRM RETURN OR EXCHANGE OF CUSTOMER-SUPPLIED GOODS

Customer-Supplied Goods are not eligible for a product return, exchange, refund, store credit, or reimbursement from Torque Ranch Motors because TRM did not sell those goods to the customer.

If the customer wants Customer-Supplied Goods returned to the original seller, that is a separate forwarding or handling request, not a return to TRM.

Any such request is subject to:

  • The original seller’s return authorization

  • The original seller’s deadline

  • The original seller’s condition requirements

  • The availability of an appropriate carrier

  • Export or domestic transportation requirements

  • The goods still being in TRM’s possession

  • The shipment not already having been dispatched

  • Applicable safety and packaging requirements

The customer is responsible for all costs associated with such a return unless another party has expressly agreed to pay them.

These costs may include:

  • Return transportation

  • Carrier charges

  • Packaging

  • Repacking

  • Handling

  • Palletization

  • Crating

  • Insurance

  • Duties

  • Taxes

  • Brokerage charges

  • Seller restocking fees

  • TRM labor or administrative services specifically requested for the return

TRM may, when feasible, purchase or provide a return label for the customer.

Providing a label does not mean TRM is paying for the return.

Unless TRM expressly agrees otherwise in writing, the customer must pay the label and associated costs.

TRM does not guarantee that a third-party seller will accept a return or issue a refund.


14. AUTHORIZATION TO OPEN, INSPECT, PHOTOGRAPH, MEASURE, REPACK, AND CONSOLIDATE

By using the Forwarding Service, the customer authorizes TRM, when reasonably necessary, to:

  • Receive packages

  • Open external packaging

  • Remove or replace packaging material

  • Inspect visible condition

  • Photograph goods and packaging

  • Verify quantities

  • Identify part numbers

  • Measure goods

  • Weigh goods

  • Separate goods

  • Consolidate packages

  • Repack goods

  • Reinforce packaging

  • Replace unsuitable cartons

  • Palletize or crate goods

  • Prepare goods for export

  • Attach documentation

  • Perform other reasonable shipping-preparation activities

TRM may refuse to forward goods that cannot be reasonably inspected or safely prepared.

The customer acknowledges that opening or repacking goods may affect a third-party seller’s return rights, packaging requirements, seals, presentation, or warranty procedures.

TRM is not responsible for loss of a third-party seller return privilege resulting solely from inspection or repacking reasonably necessary to perform the authorized Forwarding Service, except to the extent liability cannot legally be excluded.

Original packaging is not guaranteed to be preserved.


15. CONSOLIDATION AND MULTIPLE PACKAGES

A single customer purchase may arrive in multiple packages.

Where reasonably practical, TRM may consolidate multiple packages from the same purchase to reduce unnecessary shipping volume.

Consolidation is never guaranteed.

TRM may keep packages separate if consolidation could:

  • Increase damage risk

  • Exceed carrier limits

  • Create excessive weight

  • Create customs problems

  • Mix incompatible goods

  • Affect dangerous-goods requirements

  • Require unsuitable packaging

  • Increase handling risk

  • Otherwise make separate shipping more appropriate

Safety and regulatory compliance take priority over reducing package count.


16. FORWARDING INTAKE DEPOSIT

Where the Forwarding Service requires an intake deposit, the current standard deposit is displayed at the time the service is started.

Unless otherwise stated for a specific transaction:

  • The intake deposit applies per purchase / forwarding order, not per package.

  • Multiple tracking numbers from the same qualifying purchase may be associated with the same forwarding order.

  • A separate purchase may require a separate forwarding order and deposit.

  • The deposit is credited against the later TRM forwarding invoice for that transaction as shown in the applicable order.

  • The deposit itself is not the international freight charge.

  • Freight, duties, taxes, packaging, repacking, handling, special services, and other charges may remain payable separately.

For consumers, statutory cancellation or withdrawal rights remain subject to the applicable mandatory law and the separate withdrawal information provided for the transaction.


17. CUSTOMER INFORMATION AND CUSTOMS DOCUMENTS

The customer must provide complete and accurate information reasonably required for export and import.

This may include:

  • Purchase invoice

  • Order confirmation

  • Proof of payment

  • Product description

  • Quantity

  • Actual purchase value

  • Part number

  • Manufacturer

  • Country of origin

  • Material

  • Intended use

  • Vehicle information

  • Required regulatory information

TRM does not participate in artificial undervaluation, false gift declarations, incorrect product descriptions, false origin declarations, or other customs misrepresentation.

If required information is unavailable or uncertain, TRM may hold the goods until the information is resolved.

The customer is responsible for documented additional costs reasonably resulting from false, materially inaccurate, or incomplete information supplied by the customer, to the extent permitted by applicable law.


18. FINAL SHIPPING MEASUREMENTS AND INTERNATIONAL QUOTES

International freight is based on the final shipment as packed for transportation.

The dimensions of the unboxed part are not necessarily the billable dimensions.

Final calculations may include:

  • Carton

  • Pallet

  • Crate

  • Protective packaging

  • Reinforcement

  • Void fill

  • Strapping

  • Final overall dimensions

  • Actual weight

  • Dimensional weight

The final forwarding price may therefore differ from a preliminary calculator estimate.

A preliminary shipping calculator is provided for planning purposes only.

It is not a guaranteed offer.

A final or approved international shipment price is based on the actual verified shipment configuration and available carrier rate.

If a carrier rerates the shipment, rejects the original classification, changes a surcharge, or requires additional handling before shipment, TRM may issue a revised amount before dispatch.


19. CUSTOMS, DDP, DUTIES, AND IMPORT DECISIONS

TRM may offer international services that include estimated or quoted duties and taxes.

Where TRM expressly confirms a DDP or duty-paid shipping method, TRM will prepare the shipment on that basis using verified information reasonably available at the time.

Neither TRM nor the customer controls the final determination of customs authorities.

Customs authorities may independently:

  • Reclassify goods

  • Question origin

  • Revalue goods

  • Request documents

  • Inspect goods

  • Assess additional taxes or duties

  • Delay clearance

  • Refuse admission

  • Require corrections

TRM does not guarantee a particular customs classification, decision, clearance time, or government assessment.

Government or carrier corrections do not automatically constitute a breach by TRM.


20. RESTRICTED, DANGEROUS, OR UNSUITABLE GOODS

Customers must disclose goods that may require special treatment.

Examples include:

  • Batteries

  • Airbags

  • Seatbelt pretensioners

  • Aerosols

  • Fuel-system components containing residue

  • Oil or other fluids

  • Chemicals

  • Pressurized components

  • Engines

  • Transmissions

  • Axles

  • Hazardous materials

  • Regulated items

  • Oversized freight

TRM may inspect, hold, refuse, return, clean, drain, repackage, or require special handling when reasonably necessary.

Used engines, transmissions, differentials, and other fluid-containing components must be clean and transport-ready.

Visible leakage, residual fluids, unsafe packaging, contamination, or other transportation hazards may require additional preparation.

TRM will normally seek customer authorization for material additional charges when reasonably practical.

Goods that cannot legally or safely be transported may be refused.


21. STORAGE, CUSTOMER DELAY, AND UNCLAIMED GOODS

Customers must respond to reasonable requests for documents, payment, instructions, customs information, or delivery decisions.

If goods cannot move forward because the customer fails to provide required information, payment, or instructions, TRM may place the goods on hold.

After reasonable notice, TRM may charge reasonable storage fees disclosed to the customer before those fees accrue.

The customer is responsible for reasonable costs caused by:

  • Extended storage

  • Repeated failed delivery

  • Refused delivery

  • Return transportation

  • Address corrections

  • Redelivery

  • Repacking caused by customer delay

  • Storage transfer

  • Disposal legally required for unsafe goods

If goods remain unclaimed or unresolved for an extended period, TRM may, after required notice and to the extent permitted by applicable law, return the goods, transfer them to storage, dispose of them, or exercise other lawful remedies.

Any proceeds from a legally permitted disposition may be applied to unpaid charges and costs, with any remainder handled as required by law.

Nothing in this Section permits TRM to dispose of customer property contrary to mandatory law.


22. TRANSPORT DAMAGE, LOSS, AND CARRIER CLAIMS

A. Customer-Supplied Goods Arriving at TRM

For Customer-Supplied Goods purchased from an external seller, damage, shortage, loss, misdelivery, counterfeit goods, incorrect goods, or other problems occurring before TRM receives the shipment are generally matters between the customer, original seller, and inbound carrier.

TRM is not the seller of those goods.

When reasonably practical, TRM may document visible package damage when receiving a shipment.

TRM does not guarantee discovery of concealed damage.

The customer remains responsible for pursuing the original seller or inbound carrier concerning damage or loss that occurred before TRM received the goods.

B. Outbound Shipments Arranged Through TRM

International and domestic transportation is performed by independent carriers.

Carrier liability is governed by applicable law and the carrier’s transportation terms, limits, exclusions, claims procedures, and documentation requirements.

The customer must inspect delivered shipments promptly.

If transportation damage or loss is suspected, the customer should:

  • Preserve all packaging

  • Preserve the shipping label

  • Photograph the package before discarding anything

  • Photograph the damage

  • Document missing items

  • Notify TRM and, where appropriate, the carrier promptly

  • Provide all information required for the carrier claim

Failure to preserve packaging or comply with carrier claim requirements may result in denial of a claim.

Where the customer is entitled and able to file a carrier claim directly, the customer is responsible for pursuing that carrier claim.

Where TRM is the contractual shipper or carrier account holder and the carrier requires the claim to be submitted by TRM, TRM may submit or assist with the carrier claim using information supplied by the customer.

Such assistance does not constitute an admission that TRM caused the damage.

Any carrier payment remains subject to the carrier’s approved amount, exclusions, valuation rules, and limits.

TRM does not guarantee that a carrier will approve or pay a claim.

Optional cargo insurance or additional coverage is not included unless expressly stated in writing.

Carrier declared value is not necessarily equivalent to all-risk cargo insurance.

Nothing in this Section excludes liability that TRM is legally required to bear because of TRM’s own actionable conduct.


23. ORDER CHANGES AND CANCELLATIONS

Orders cannot necessarily be canceled through self-service.

Contact Torque Ranch Motors immediately to request a cancellation, address change, quantity change, or product change.

We will attempt to assist, but approval is not guaranteed.

A voluntary cancellation may be unavailable once an order has:

  • Entered fulfillment

  • Been allocated

  • Been purchased from a supplier

  • Been prepared for shipment

  • Been dispatched

  • Become non-cancellable under supplier terms

  • Been custom-made or specially manufactured

  • Incurred non-recoverable costs

Approved voluntary cancellations may be reduced by lawful, documented non-recoverable charges where permitted.

This Section does not restrict statutory cancellation or withdrawal rights that cannot legally be excluded.


24. RETURNS AND REFUNDS FOR GOODS SOLD BY TRM

Returns, exchanges, damaged shipments, cancellations, and refunds for goods sold by TRM are governed by our Return and Refund Policy and applicable law.

All voluntary returns require prior authorization.

Do not return goods without return instructions.

Voluntary Returns

Outside mandatory statutory rights, TRM may approve a voluntary return only when:

  • The product is eligible under the Return and Refund Policy.

  • The return request is made within the applicable voluntary-return period.

  • A qualifying return reason is provided.

  • The product is in the condition required by the return authorization.

  • All required packaging, hardware, accessories, documentation, and components are included.

  • The product has not been installed, used, modified, programmed, painted, drilled, cut, welded, damaged, or otherwise made unsuitable for resale unless expressly approved.

Voluntary return approval remains at TRM’s discretion where permitted by law.

Return Transportation Costs

Unless required otherwise by applicable law or expressly agreed by TRM:

The customer is responsible for return transportation costs.

TRM may provide or purchase a return label for convenience.

If TRM provides a customer-paid return label, the actual label cost may be:

  • charged separately;

  • collected before the return;

  • or deducted from any refund,

as disclosed for that return.

Original outbound shipping charges, expedited charges, freight charges, customs charges, duties, taxes, packaging charges, and other non-recoverable costs are refundable only where required by law or expressly approved.

Installed, used, test-fitted, programmed, painted, drilled, modified, damaged, incomplete, special-order, custom-made, made-to-order, clearance, electrical, or final-sale goods may be excluded from voluntary returns as stated in the Return and Refund Policy.

Mandatory consumer rights concerning statutory withdrawal or defective goods remain unaffected.


25. CUSTOMER-SUPPLIED GOODS ARE EXCLUDED FROM TRM PRODUCT RETURN POLICY

For clarity:

The TRM product Return and Refund Policy applies to products sold by TRM.

It does not create a product-return or exchange right against TRM for Customer-Supplied Goods purchased from RockAuto, eBay, another retailer, manufacturer, salvage facility, private seller, marketplace seller, or other third party.

Requests to send Customer-Supplied Goods back to the original seller are governed by Section 13 and are performed only as a separate paid handling/forwarding service if accepted by TRM.


26. MANUFACTURER WARRANTIES

Products sold by TRM may include a warranty provided by the manufacturer.

Warranty eligibility, duration, coverage, exclusions, remedies, and procedures may be determined by the manufacturer.

Unless expressly stated in writing, TRM does not create an additional product warranty beyond rights that cannot legally be excluded.

Customers may be required to provide:

  • Photographs

  • Diagnostic information

  • Proof of purchase

  • Installation records

  • VIN

  • Mileage

  • Professional inspection

  • Other documentation

A manufacturer may require the customer to work directly with the manufacturer.

Labor, towing, rental vehicles, lost time, loss of use, removal, installation, freight, and incidental expenses are not included unless the applicable warranty or mandatory law expressly provides otherwise.


27. INSTALLATION AND SAFETY

Automotive products should be installed, inspected, and maintained by qualified persons.

Improper installation, incompatible combinations, incorrect torque, missing hardware, improper programming, modification, misuse, racing, overloading, or failure to follow instructions may result in damage, injury, or death.

Customers are responsible for:

  • Reviewing instructions and warnings

  • Confirming compatibility

  • Using appropriate tools

  • Completing required alignments

  • Completing programming or calibration

  • Completing post-installation inspections

  • Rechecking hardware when required

  • Discontinuing use if a safety concern develops

  • Complying with applicable laws

TRM is not responsible for installation performed by another person or business except to the extent mandatory law provides otherwise.


28. EMISSIONS AND LEGAL COMPLIANCE

Some products may be restricted from sale, export, import, installation, registration, or use.

Product-specific EPA, CARB, emissions, racing-use, off-road-use, competition-use, road-safety, or other legal notices form part of the product information.

TRM does not authorize the unlawful use of a product.

TRM does not offer installation intended to unlawfully remove, bypass, defeat, disable, or render inoperative emissions-control equipment required by law.

Customers are responsible for confirming that the intended product and use comply with applicable laws and vehicle requirements.


29. PROFESSIONAL INSTALLATION AND WORKSHOP SERVICES

Installation, diagnostic, fabrication, repair, or workshop services are separate from an online product purchase unless expressly included.

Workshop services may require:

  • Appointment

  • Vehicle inspection

  • Written estimate

  • Repair order

  • Deposit

  • Additional parts

  • Additional labor

  • Separate authorization

  • Additional diagnostic work

Online product pricing does not automatically include installation.

An installation quote is based on information available before inspection and may change if additional conditions or required work are discovered.


30. WEBSITE AND SYSTEM AVAILABILITY

We do not guarantee that the website, account features, customer portal, calculator, checkout, vehicle-selection tools, product information, tracking tools, forwarding portal, or other services will always be available, uninterrupted, secure, or error-free.

We may modify, suspend, restrict, or discontinue features when reasonably necessary.

Temporary technical errors do not require TRM to honor incorrect pricing, availability, shipping, customs, product, or fitment information.


31. THIRD-PARTY SERVICES AND LINKS

The website and TRM services may use or link to third parties including:

  • Shopify

  • Payment providers

  • Carriers

  • Customs systems

  • Analytics services

  • Applications

  • Manufacturers

  • Distributors

  • Marketplaces

  • Sellers

  • Social-media platforms

  • Other websites

Third parties remain responsible for their own systems, content, availability, privacy practices, security, terms, pricing, and independent conduct.

TRM is not affiliated with RockAuto, eBay, or other third-party marketplaces merely because they are mentioned as examples of external sellers.

Use of a manufacturer, seller, or marketplace name is for identification purposes.


32. INTELLECTUAL PROPERTY

Website content, branding, text, graphics, photographs, videos, designs, logos, software, and other original materials are owned by or licensed to German Truck Works LLC or the applicable rights holder.

Manufacturer names, product names, trademarks, photographs, and intellectual property belong to their respective owners.

Use of a name or trademark for product identification does not imply sponsorship, affiliation, or endorsement unless expressly stated.


33. PRIVACY

Personal information is handled according to our Privacy Policy.

Information submitted in connection with international forwarding may include identity, address, VIN, purchase documentation, payment evidence, tracking information, product details, customs information, and other transaction data.

By using the applicable service, the customer acknowledges that such information may need to be processed and shared with service providers, carriers, customs systems, government authorities, payment providers, or other parties as reasonably necessary to perform the transaction or satisfy legal requirements.


34. FORCE MAJEURE AND EVENTS OUTSIDE TRM’S CONTROL

To the extent permitted by law, TRM is not responsible for delay or nonperformance caused by events reasonably outside TRM’s control, including:

  • Carrier disruption

  • Weather

  • Natural disaster

  • War

  • Terrorism

  • Civil disorder

  • Strike

  • Labor disruption

  • Government action

  • Customs action

  • Port or airport closure

  • Border disruption

  • Cyberattack

  • Supplier interruption

  • Utility failure

  • Transportation embargo

  • Sanctions

  • Epidemic or public-health emergency

  • Other comparable events

This provision does not remove rights that mandatory law gives the customer.


35. DISCLAIMER OF WARRANTIES

To the maximum extent permitted by applicable law, website and online services are provided on an “as is” and “as available” basis.

We do not guarantee that:

  • Website information will always be complete or error-free.

  • Every product will remain available.

  • A carrier will meet an estimated delivery date.

  • Customs will clear a shipment within a particular period.

  • Customer-Supplied Goods will be functional or suitable.

  • An external seller has accurately described Customer-Supplied Goods.

  • A particular product will produce a specific performance result.

  • A product will be suitable for an unconfirmed use.

This Section does not exclude statutory warranties or rights that cannot legally be excluded.


36. LIMITATION OF LIABILITY

To the maximum extent permitted by applicable law, German Truck Works LLC and Torque Ranch Motors are not liable for indirect, incidental, special, exemplary, punitive, or consequential damages arising from:

  • Website use

  • Product selection

  • Customer-Supplied Goods

  • Conduct of an external seller

  • Carrier delays

  • Customs delays

  • Installation performed by others

  • Vehicle downtime

  • Loss of vehicle use

  • Lost profits

  • Lost business

  • Third-party systems

  • Misuse or unauthorized modification

  • Failure to follow instructions

For transactions where applicable law permits a contractual liability cap, TRM’s aggregate liability arising from a particular transaction will not exceed the amount paid to TRM for the product or service giving rise to the claim.

However, no liability limitation in these Terms applies where such limitation is prohibited by mandatory law, including mandatory rules concerning intentional misconduct, gross negligence, death, bodily injury, health injury, product liability, fraud, or other non-excludable liability.

The Germany Consumer Supplement below applies to consumers in Germany and prevails in the event of conflict.


37. INDEMNIFICATION

To the extent permitted by applicable law, customers agree to reimburse and protect German Truck Works LLC and Torque Ranch Motors from third-party claims, government charges, penalties, losses, or costs directly resulting from the customer’s:

  • Unlawful conduct

  • Knowingly false customs information

  • False ownership representation

  • Illegal product import

  • Illegal product export

  • Undisclosed dangerous goods

  • Infringement of third-party rights

  • Fraudulent documentation

  • Material violation of these Terms

This provision does not require a consumer to indemnify TRM for matters that are legally TRM’s responsibility.


38. GOVERNING LAW AND DISPUTES

Except where mandatory law provides otherwise, these Terms and transactions with German Truck Works LLC are governed by the laws of the State of Texas and applicable United States federal law, without regard to conflict-of-law rules.

For a consumer whose transaction falls under mandatory consumer-protection rules of another jurisdiction, this choice of law does not deprive that consumer of mandatory protections that cannot legally be waived.

No provision in these Terms creates an exclusive forum against a consumer where mandatory law gives that consumer a different right to bring or defend proceedings.

For Business Customers, Section 43 below applies.


39. SEVERABILITY

If any provision is determined to be unlawful, invalid, or unenforceable, the remaining provisions remain effective to the fullest extent permitted by law.

Where legally permissible, an invalid provision will be interpreted as narrowly as necessary to make it enforceable while preserving its intended commercial purpose.


40. NO WAIVER

Failure to enforce a provision does not waive the right to enforce it later.

A waiver applies only to the specific matter for which it is given.


41. CHANGES TO THESE TERMS

TRM may update these Terms to reflect changes in services, operations, policies, or legal requirements.

Revised Terms apply prospectively as permitted by law.

The Terms applicable to an already concluded transaction remain subject to the version properly incorporated into that transaction and any subsequent lawful agreement.

43. ADDITIONAL TERMS FOR BUSINESS CUSTOMERS

The following provisions apply to Business Customers to the maximum extent permitted by law.

They do not apply to a consumer to the extent they would reduce mandatory consumer rights.

43.1 Commercial Purpose

A Business Customer confirms that goods and services are acquired primarily for trade, workshop, resale, fleet, commercial, or professional purposes.

43.2 Inspection

Business Customers must inspect delivered goods promptly and report apparent shortages, shipping damage, incorrect products, or defects without undue delay.

Where mandatory commercial-law inspection and notification requirements apply, those requirements remain applicable.

43.3 Voluntary Returns

Unless expressly agreed otherwise in writing, Business Customer returns are subject entirely to TRM’s written return authorization and Return and Refund Policy.

TRM may refuse voluntary Business Customer returns.

43.4 Risk of Transportation

To the extent legally permitted for the applicable Business Customer transaction, transportation risk may transfer when goods are tendered to the carrier.

Any different Incoterm, freight term, or written shipment term stated in the applicable quote or invoice controls.

43.5 Consequential Damages

To the maximum extent permitted by law, TRM is not liable to Business Customers for:

  • Lost profits

  • Lost revenue

  • Lost production

  • Lost contracts

  • Vehicle downtime

  • Customer chargebacks

  • Rental costs

  • Business interruption

  • Consequential or special damages

43.6 Liability Cap

To the maximum extent legally permitted, TRM’s aggregate liability to a Business Customer arising from one transaction is limited to the amount paid to TRM for the product or service giving rise to the claim.

43.7 Venue

To the extent legally enforceable, Business Customers agree that disputes with German Truck Works LLC may be brought in the competent state or federal courts serving Williamson County, Texas, unless a different venue is expressly agreed in writing.


44. GERMANY CONSUMER SUPPLEMENT

ZUSATZBEDINGUNGEN FÜR VERBRAUCHER IN DEUTSCHLAND

Die nachfolgenden Bestimmungen gelten zusätzlich, wenn Torque Ranch Motors seine Leistungen gezielt gegenüber einem Verbraucher mit gewöhnlichem Aufenthalt in Deutschland erbringt.

Bei einem Widerspruch zwischen den allgemeinen englischsprachigen Bedingungen und diesem Abschnitt gelten gegenüber einem Verbraucher in Deutschland die Bestimmungen dieses Abschnitts, soweit zwingendes Recht dies verlangt.

44.1 Vertragspartner

Vertragspartner ist, sofern im konkreten Angebot oder Vertrag nicht ausdrücklich etwas anderes angegeben wird:

Die Verwendung der Marke „Torque Ranch Motors“ ändert den Vertragspartner nicht.


44.2 Zwei unterschiedliche Vertragsmodelle

Für Deutschland ist ausdrücklich zwischen zwei Geschäftsmodellen zu unterscheiden.

A. Kunde kauft das Teil selbst – TRM Forwarding

Kauft der Kunde ein Teil selbst bei RockAuto, eBay, einem Hersteller, Händler, Verwerter, privaten Verkäufer oder einer anderen dritten Partei, ist dieser Dritte Verkäufer des Teils.

TRM verkauft dieses Teil nicht.

TRM erbringt ausschließlich die vereinbarten Forwarding-, Empfangs-, Prüf-, Verpackungs-, Export- und Versanddienstleistungen.

Ansprüche wegen:

  • falscher Ware;

  • Produktmängeln;

  • Echtheit;

  • Funktionsfähigkeit;

  • Vollständigkeit;

  • ursprünglicher Beschädigung;

  • Verkäuferbeschreibung;

  • Herstellergewährleistung;

  • Rückgaberecht beim Verkäufer

sind grundsätzlich gegenüber dem ursprünglichen Verkäufer geltend zu machen, soweit der betreffende Umstand nicht durch eine von TRM zu vertretende Pflichtverletzung verursacht wurde.

B. TRM beschafft oder verkauft das Teil

Verkauft TRM dem Kunden das Teil selbst, ist TRM Verkäufer.

In diesem Fall gelten die zwingenden gesetzlichen Verbraucherrechte gegenüber TRM.

Diese Rechte werden durch die Forwarding-Regeln nicht eingeschränkt.


44.3 Selbst angelieferte / selbst bestellte Ware – kein Umtausch bei TRM

Für Ware, die der Kunde selbst bei einem Dritten gekauft und lediglich zu TRM liefern lässt, besteht gegenüber TRM kein Anspruch auf Umtausch, Rücknahme oder Erstattung des Kaufpreises des Teils, weil TRM nicht Verkäufer dieser Ware ist.

Möchte der Kunde die Ware an den ursprünglichen Verkäufer zurücksenden, kann TRM dies nach vorheriger Prüfung gegebenenfalls als separate Dienstleistung unterstützen.

Eine solche Rücksendung setzt insbesondere voraus, dass:

  • der ursprüngliche Verkäufer die Rücksendung akzeptiert;

  • eine erforderliche RMA oder Rücksendegenehmigung vorliegt;

  • die Ware noch nicht international versandt wurde;

  • die Ware transportsicher versendet werden kann.

Sämtliche Kosten einer solchen Rücksendung trägt grundsätzlich der Kunde, sofern nicht der ursprüngliche Verkäufer, Carrier oder eine andere Partei diese Kosten übernimmt.

TRM kann auf Wunsch ein Rücksendelabel bereitstellen oder beschaffen.

Die Bereitstellung eines Labels bedeutet nicht, dass TRM dessen Kosten übernimmt.


44.4 Freiwillige Retouren von bei TRM gekaufter Ware

Außerhalb zwingender gesetzlicher Rechte nimmt TRM Waren nur nach vorheriger Rückgabegenehmigung zurück.

Für eine freiwillige Retoure kann TRM insbesondere verlangen:

  • einen nachvollziehbaren Rückgabegrund;

  • unbenutzten und wiederverkaufsfähigen Zustand;

  • vollständige Verpackung;

  • vollständiges Zubehör;

  • vorherige RMA-Freigabe.

Bei freiwilligen Retouren trägt grundsätzlich der Kunde die Rücksendekosten.

TRM kann ein Rücksendelabel bereitstellen und dessen tatsächliche Kosten dem Kunden berechnen oder vom Erstattungsbetrag abziehen.

Diese Regelung gilt nicht, soweit der Kunde ein gesetzliches Widerrufsrecht ausübt oder TRM gesetzlich zur Übernahme der Rücksendungs- oder Nacherfüllungskosten verpflichtet ist.


44.5 Gesetzliches Widerrufsrecht

Soweit dem Verbraucher bei einem Fernabsatzvertrag ein gesetzliches Widerrufsrecht zusteht, gelten die gesetzliche Widerrufsbelehrung und die gesonderten Informationen von TRM.

Ein gesetzlicher Widerruf muss nicht begründet werden.

Bei Waren trägt der Verbraucher die unmittelbaren Kosten der Rücksendung, wenn er hierüber vor Vertragsschluss ordnungsgemäß informiert wurde und das Gesetz nicht ausnahmsweise etwas anderes bestimmt.

Bei nicht normal paketversandfähigen Waren werden die Rücksendekosten nach Maßgabe der gesetzlich erforderlichen Vorabinformation behandelt.


44.6 Sofortiger Beginn einer Dienstleistung

Bei einer Forwarding-, Prüf-, Beschaffungs- oder sonstigen Dienstleistung kann der Verbraucher ausdrücklich verlangen, dass TRM bereits vor Ablauf der gesetzlichen Widerrufsfrist mit der Leistung beginnt.

Widerruft der Verbraucher anschließend wirksam, kann für den bis zum Widerruf bereits erbrachten Teil der Dienstleistung Wertersatz geschuldet sein, soweit die gesetzlichen Voraussetzungen hierfür erfüllt sind.

Bei vollständiger Erbringung einer entgeltlichen Dienstleistung kann das Widerrufsrecht unter den gesetzlichen Voraussetzungen erlöschen, wenn der Verbraucher vor Beginn ausdrücklich zugestimmt und seine Kenntnis von den gesetzlichen Folgen bestätigt hat.


44.7 Elektronische Widerrufsfunktion

Soweit gesetzlich vorgeschrieben, stellt TRM für online abgeschlossene Fernabsatzverträge während der Widerrufsfrist eine elektronische Widerrufsmöglichkeit zur Verfügung.

Die Nutzung einer solchen Funktion ist nicht Voraussetzung dafür, dass ein Verbraucher ein gesetzliches Widerrufsrecht auf andere zulässige Weise ausüben kann.


44.8 Rücksendekosten bei Mängeln

Diese Bedingungen unterscheiden ausdrücklich zwischen:

  1. einer freiwilligen Rückgabe;

  2. einem gesetzlichen Widerruf; und

  3. einem Anspruch wegen eines Mangels an einer von TRM verkauften Ware.

Besteht gegenüber TRM ein gesetzlicher Anspruch auf Nacherfüllung wegen eines Mangels, trägt TRM die hierfür gesetzlich von TRM zu tragenden erforderlichen Aufwendungen.

Die Regel „Kunde zahlt Rückversand“ gilt daher nicht, soweit zwingendes Gewährleistungsrecht etwas anderes bestimmt.


44.9 Transportschäden bei selbst gekaufter Ware

Wird eine vom Kunden selbst gekaufte Ware bereits auf dem Weg vom ursprünglichen Verkäufer zu TRM beschädigt, ist dies grundsätzlich im Verhältnis zwischen Kunde, Verkäufer und dem für diese Lieferung zuständigen Versanddienstleister zu klären.

TRM kann erkennbare äußere Schäden dokumentieren, ist jedoch nicht verpflichtet oder in der Lage, jeden verdeckten Transportschaden bei Wareneingang festzustellen.

Der Kunde bleibt für die rechtzeitige Wahrung seiner Ansprüche gegen den ursprünglichen Verkäufer oder Carrier verantwortlich.


44.10 Transportschäden beim internationalen Weitertransport

Der internationale Transport wird durch selbständige Versanddienstleister durchgeführt.

Der Kunde hat sichtbare Transportschäden nach Erhalt unverzüglich zu dokumentieren und TRM zu informieren.

Verpackungen, Versandlabel und beschädigte Ware dürfen bis zur Klärung nicht entsorgt werden.

Soweit der Kunde einen Anspruch unmittelbar beim Carrier geltend machen kann, hat er diesen nach den Vorgaben des Carriers zu verfolgen.

Ist TRM beim Carrier als Versender oder Vertragspartner registriert und akzeptiert der Carrier einen Schadenfall nur von TRM, kann TRM die Schadensmeldung mit den vom Kunden zur Verfügung gestellten Informationen einreichen oder unterstützen.

TRM garantiert nicht die Anerkennung oder Höhe einer Carrier-Erstattung.

Die Haftung von TRM für eigene, gesetzlich zurechenbare Pflichtverletzungen bleibt unberührt.


44.11 Transportversicherung

Eine gesonderte Transportversicherung besteht nur, wenn sie ausdrücklich vereinbart oder im Angebot ausgewiesen wurde.

Ein angegebener Warenwert oder „Declared Value“ eines Carriers ist nicht automatisch mit einer vollwertigen Transportversicherung gleichzusetzen.

Der Kunde sollte insbesondere bei hochpreisigen, seltenen oder schwer ersetzbaren Teilen vor Versand klären, ob zusätzliche Deckung gewünscht und verfügbar ist.


44.12 Zoll und Behördenentscheidungen

TRM bereitet die Versand- und Zolldaten nach den verfügbaren und geprüften Informationen vor.

Die endgültige Entscheidung über:

  • Zolltarifnummer;

  • Ursprung;

  • Zollwert;

  • Einfuhrfähigkeit;

  • Abgaben;

  • Prüfung;

  • Freigabe

trifft die zuständige Behörde.

Eine behördliche Neubewertung stellt nicht automatisch einen Mangel der TRM-Leistung dar.

Hat der Kunde falsche oder unvollständige Informationen geliefert, kann er für dadurch verursachte zusätzliche, nachgewiesene Kosten verantwortlich sein, soweit gesetzlich zulässig.


44.13 Rechner und Kostenschätzungen

Der öffentlich zugängliche Versandrechner stellt eine unverbindliche Kostenschätzung dar.

Für den verbindlichen Versandpreis sind insbesondere maßgeblich:

  • tatsächlich gemessenes Gewicht;

  • endgültige Außenmaße;

  • Versandverpackung;

  • Anzahl der Packstücke;

  • Zolltarifnummer;

  • Ursprungsland;

  • Warenwert;

  • Carrier-Tarif;

  • Zuschläge.

Der Kunde hat deshalb keinen Anspruch darauf, dass eine vor Wareneingang erstellte Rechner-Schätzung dem späteren Endpreis entspricht.


44.14 Haftung gegenüber deutschen Verbrauchern

TRM haftet unbeschränkt:

  • bei Vorsatz;

  • bei grober Fahrlässigkeit;

  • bei schuldhafter Verletzung von Leben, Körper oder Gesundheit;

  • aufgrund zwingender Produkthaftung;

  • aufgrund einer ausdrücklich übernommenen Garantie;

  • in sonstigen Fällen zwingender gesetzlicher Haftung.

Bei leicht fahrlässiger Verletzung einer wesentlichen Vertragspflicht haftet TRM nur für den vorhersehbaren, vertragstypischen Schaden.

Wesentliche Vertragspflichten sind solche Pflichten, deren Erfüllung die ordnungsgemäße Durchführung des Vertrags überhaupt erst ermöglicht und auf deren Erfüllung der Kunde regelmäßig vertrauen darf.

Bei leicht fahrlässiger Verletzung sonstiger, nicht wesentlicher Vertragspflichten ist die Haftung ausgeschlossen, soweit gesetzlich zulässig.

Die Haftung selbständiger Carrier, Verkäufer und anderer Drittanbieter richtet sich nach deren eigener Verantwortlichkeit und den zwingenden gesetzlichen Vorschriften.


44.15 Gebrauchte Teile

Bei gebrauchten Teilen sind alters-, laufleistungs- und nutzungsbedingte Gebrauchsspuren, Verschmutzungen und kosmetische Abweichungen zu erwarten.

Bei selbst vom Kunden gekauften gebrauchten Teilen ist TRM nicht Verkäufer und übernimmt keine Produktgewährleistung.

Bei von TRM an Verbraucher verkauften gebrauchten Teilen bleiben die gesetzlichen Mängelrechte bestehen.

Soweit gesetzlich zulässig und für den konkreten Kauf ausdrücklich vereinbart, kann für gebrauchte Ware eine zulässige Verkürzung der Verjährungsfrist gesondert vereinbart werden.


44.16 Rechtswahl

Für das Vertragsverhältnis wird grundsätzlich das Recht des Staates Texas, USA, vereinbart.

Bei einem Verbraucher mit gewöhnlichem Aufenthalt in Deutschland führt diese Rechtswahl jedoch nicht dazu, dass dem Verbraucher der Schutz zwingender Bestimmungen entzogen wird, die ohne Rechtswahl nach dem anwendbaren Verbraucherschutzrecht gelten würden.


44.17 Gerichtsstand

Gegenüber Verbrauchern gilt kein ausschließlicher Gerichtsstand zulasten des Verbrauchers, soweit dies nach zwingendem Recht unzulässig wäre.

Zwingende gesetzliche Zuständigkeitsregeln bleiben unberührt.


44.18 Vorrang zwingenden Rechts

Keine Bestimmung dieser Terms soll ein zwingendes gesetzliches Verbraucherrecht ausschließen oder beschränken, soweit ein solcher Ausschluss oder eine solche Beschränkung unwirksam wäre.

Eine solche gesetzliche Einschränkung einer einzelnen Klausel führt nicht dazu, dass freiwillig darüber hinausgehende Rechte eingeräumt werden.

TRM gewährt nur diejenigen Rechte, die:

  1. ausdrücklich vertraglich zugesagt wurden; oder

  2. nach zwingendem Recht bestehen.
